Terms and Conditions for Premier Executive Suites

Welcome to Premier Executive Suites. These Terms and Conditions (“Terms”) govern your access to and use of our office spaces, virtual office services, amenities, and related services (collectively, the “Services”). By accessing or using any of our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

1. Acceptance of Terms

By signing a membership agreement, service agreement, or by otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies or rules applicable to specific Services you use. These Terms constitute a legally binding agreement between you (the “Member” or “Client”) and Premier Executive Suites (“PES,” “we,” “us,” or “our”).

2. Description of Services

Premier Executive Suites provides flexible office solutions, including but not limited to:

  • Private Office Spaces: Dedicated, furnished office spaces for individual or team use.
  • Virtual Office Services: Professional business address, mail handling, and phone answering services without a physical office presence.
  • Meeting and Conference Rooms: Access to equipped meeting facilities for hourly or daily use.
  • Co-working Spaces: Shared workspace environments (if applicable).
  • Amenities: Access to common areas, internet, utilities, janitorial services, and other facilities as specified in your membership agreement.

Specific details regarding the scope of Services, including access hours, included amenities, and any additional fees, will be outlined in your individual Membership Agreement or Service Agreement.

3. Membership and Access

3.1 Eligibility

Our Services are available to individuals and businesses who are at least 18 years old and capable of forming legally binding contracts. By using our Services, you represent and warrant that you meet these eligibility requirements.

3.2 Membership Agreement

Your use of specific Services will be governed by a separate Membership Agreement or Service Agreement, which will detail the specific terms of your engagement, including:

  • Type of membership (e.g., private office, virtual office, co-working)
  • Term of agreement (e.g., monthly, annually)
  • Fees and payment schedule
  • Included services and amenities
  • Specific rules and regulations pertaining to your chosen service.

In the event of any conflict between these Terms and your Membership Agreement, the terms of your Membership Agreement shall prevail with respect to the specific Services covered therein.

3.3 Access and Use

Access to PES premises and Services is granted solely to authorized Members and their registered guests. You agree to:

  • Use the Services only for lawful business purposes.
  • Comply with all applicable laws, regulations, and PES policies.
  • Maintain the security of your access credentials (e.g., keys, access cards, passwords) and not share them with unauthorized individuals.
  • Not engage in any activity that could disrupt the peace, safety, or operations of PES or its other Members.
  • Not use the Services for any illegal, fraudulent, or unauthorized purposes.

4. Fees and Payment

4.1 Service Fees

Fees for Services are as set forth in your Membership Agreement. All fees are due and payable in advance, according to the agreed-upon payment schedule. PES reserves the right to modify its fees for Services upon reasonable notice.

4.2 Late Payments

Payments not received by the due date may be subject to late fees as specified in your Membership Agreement. Continued failure to pay may result in suspension or termination of Services.

4.3 Taxes

All fees are exclusive of applicable taxes, duties, or other governmental charges, which shall be your responsibility.

4.4 Refunds

Unless otherwise specified in your Membership Agreement, fees are generally non-refundable. Any exceptions will be at the sole discretion of PES.

5. Member Responsibilities and Conduct

5.1 Compliance with Policies

You agree to abide by all rules, regulations, and policies established by PES, which may be updated from time to time. These policies are designed to ensure a productive and respectful environment for all Members.

5.2 Use of Premises

You shall use the office space and common areas in a respectful manner, causing no damage or undue disturbance to other Members or PES property. You are responsible for the conduct of your guests.

5.3 Internet and Technology Use

You agree to use PES internet and technology resources responsibly and lawfully. You shall not engage in any activity that could compromise the security or integrity of the network, or transmit any unlawful, harmful, or offensive material.

5.4 Personal Property

PES is not responsible for any loss, theft, or damage to your personal property or the property of your guests within the premises. We recommend securing your valuables and obtaining appropriate insurance coverage.

6. Intellectual Property

All content, trademarks, service marks, logos, and other intellectual property displayed on the PES website or within the premises are the property of PES or its licensors. You may not use, reproduce, or distribute any such intellectual property without prior written consent from PES.

7. Confidentiality

While using our Services, you may be exposed to confidential information belonging to PES or other Members. You agree to maintain the confidentiality of all such information and not to disclose or use it for any purpose other than as necessary for your use of the Services.

8. Disclaimer of Warranties

Our Services are provided “as is” and “as available” without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. PES does not warrant that the Services will be uninterrupted, error-free, or secure.

9. Limitation of Liability

To the fullest extent permitted by law, PES shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any content obtained from the Services; and (d) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

10. Indemnification

You agree to indemnify, defend, and hold harmless PES, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from your violation of these Terms or your use of the Services.

11. Termination

11.1 Termination by Member

Your Membership Agreement will specify the terms for termination by the Member, including any required notice periods.

11.2 Termination by PES

We may suspend or terminate your access to all or any part of the Services at any time, with or without cause, with or without notice, effective immediately, including without limitation for breach of these Terms or your Membership Agreement.

11.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in Woodstock, Georgia, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with your Membership Agreement and any other policies referenced herein, constitute the entire agreement between you and PES regarding the Services.

14.2 Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and PES’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
